Terms of Service

Please read these Terms of Service ("Terms") carefully before using the website pronto.sg (“Site” or "Platform"). By registering for an account with Pronto and accepting our Terms at any point, you confirm that you have read, understood, and agree to be bound by these Terms.

1. Definitions and General Overview

Pronto ("we," "us," or "our") is Jobs Pronto, operating as Pronto.sg, a company registered in Singapore. We provide a matchmaking platform that connects businesses (“Hirers”) seeking temporary workers with independent contractors (“Freelancers”) for assignments (“Gigs”), collectively referred to as the "Service."

Pronto operates as an independent service provider and is not an employer, agent, or partner of either Hirers or Freelancers. The relationship among all parties—including Pronto, Hirers, and Freelancers (the "Parties")—is that of independent contractors. Nothing in these Terms shall create or imply an employment, agency, joint venture, or partnership relationship.

Pronto’s services are currently available exclusively in Singapore and are governed by the laws of Singapore.

2. Acceptance of Terms

By accessing or using the Platform, Hirers and Freelancers agree to abide by the latest version of these Terms. If you do not agree to these Terms, you must immediately cease using the Platform.

3. Fees and Payment

3.1 Service Fee

Pronto charges an applicable service fee (“Service Fee”) to Hirers for successfully matching a Freelancer to a Gig. The Service Fee is pro-rated according to various factors including but not limited to the number of hours leading up to the Gig, the duration of the Gig, and the position type. This Service Fee covers platform operation, maintenance, and administrative costs.

3.2 Payment Terms

  • Hirers: Payment of the Service Fee and agreed compensation for the Gig (“Pay”) is due upfront upon confirmation of a match. If a Freelancer does not show up for a Gig, the amount paid will be credited to the Hirer’s e-wallet, which can be used for future Gigs or withdrawn upon request.

  • Freelancers: Pronto will process payments to Freelancers within three (3) business days after Gig completion, excluding public holidays. Payments will be made via direct bank transfer or PayNow.

3.3 GST and Receipts

Should Pronto become GST-registered, Goods and Services Tax (GST) will be applied to all applicable fees. Following the completion of each Gig, Hirers will receive a receipt summarizing the Service Fee, Pay, and any applicable charges.

3.4 Default on Payments

Hirers and Freelancers are each solely responsible for compliance with all applicable taxes, CPF contributions (if applicable), and statutory obligations arising from their use of the Platform.

4. Liability and Disclaimers

4.1 Platform Use

Pronto provides the Platform on an "as-is" basis and does not guarantee accuracy, completeness, or reliability of information, content, or tools accessed on or through the Platform.

4.2 Pronto’s Limitation of Liability

To the maximum extent permitted by Singapore law, Pronto is not liable for:

  • Indirect, special, or consequential damages, including lost profits, business interruptions, or reputational harm;

  • Issues arising from the conduct of Hirers or Freelancers, such as non-payment, misrepresentation, or failure to deliver services as agreed;

  • Errors, omissions, or inaccuracies in information available on the Platform.

4.3 Sole Remedy

If you are dissatisfied with any aspect of the Platform, your sole remedy is to discontinue use.

5. Termination of Service

5.1 Termination by Users

Hirers or Freelancers may terminate their account and these Terms with written notice to Pronto of at least fourteen (14) days.

5.2 Suspension or Termination by Pronto

Pronto reserves the right to suspend, restrict, or terminate your use of the Platform without prior notice, in cases of violations of these Terms, fraud, misuse, non-payment, or other unlawful conduct.

6. Amendments to Terms

Pronto may modify or update these Terms at its sole discretion. Changes will take effect once published on the Platform. Continued use of the Platform after updates constitutes acceptance of the amended Terms.

7. Freelancer-Specific Terms

  • Freelancers registering with Pronto must be at least 16 years old, Singapore Citizens, or Singapore Permanent Residents, and legally permitted to work in Singapore.

  • Freelancers are solely responsible for:

    • Providing truthful and accurate information during registration.

    • Ensuring compliance with legal and financial obligations, such as tax declarations, CPF contributions, and other statutory requirements.

8. Hirer-Specific Terms

  • Hirers must be legally registered business entities or individuals permitted to hire Freelancers in Singapore.

  • By posting a Gig, Hirers commit to paying the agreed Pay and shall not misrepresent any aspect of the Gig, including job responsibilities, compensation terms, or working conditions.

  • Hirers agree that Freelancers are independent contractors and not employees under the Employment Act (Cap. 91) of Singapore. Hirers are solely responsible for compliance with employment-related regulations, including statutory contributions.

9. Indemnity

Hirers and Freelancers shall indemnify and hold Pronto, its affiliates, and its officers harmless from any claims, damages, or legal costs arising from:

  • Your breach of these Terms;

  • Your violation of applicable laws or third-party rights;

  • Any omissions, inaccuracies, or fraudulent acts committed on the Platform.

10. Governing Law and Dispute Resolution

10.1 Governing Law

These Terms will be governed by and construed following the laws of Singapore.

10.2 Dispute Resolution

Parties agree to resolve disputes amicably within thirty (30) days of written notice. If unresolved, disputes shall be referred to mediation. If mediation fails within 120 days, disputes will be submitted to the exclusive jurisdiction of the courts of Singapore.

11. Entire Agreement

These Terms represent the complete and exclusive agreement between the Parties concerning the Platform and supersede all prior agreements.

12. Personal Data Protection

12.1 Compliance with Singapore's PDPA

Pronto is committed to complying with the Personal Data Protection Act 2012 (PDPA) of Singapore, including its latest amendments. This clause explains how we collect, use, disclose, and protect your personal data in connection with your use of the Platform.

12.2 Collection, Use, and Disclosure of Personal Data

By using the Platform, you agree that Pronto may collect, use, and disclose your personal data for purposes including, but not limited to:

  • Facilitating matching services between Hirers and Freelancers.

  • Processing payments and maintaining transaction records.

  • Verifying your identity or compliance with Singapore's legal and regulatory requirements.

  • Communicating with you about your account, service updates, and administrative matters.

  • Enhancing and personalising your user experience.

We only collect personal data necessary for providing our Services. Personal data may include, but is not limited to, your name, contact details (email and phone number), bank account details (for Freelancers), and corporate details (for Hirers).

12.3 Third-Party Disclosure

Pronto will not disclose your personal data to third parties without your consent unless required by law, regulation, or legal processes, or where necessary to facilitate the Services (e.g., disclosing basic contact details between Hirers and Freelancers to perform Gigs).

12.4 Protection of Personal Data

Pronto takes reasonable measures to protect your personal data from unauthorised access, collection, use, disclosure, copying, modification, disposal, or other risks. However, you acknowledge and accept that no data transmission over the internet or storage system can be guaranteed to be 100% secure.

12.5 Retention of Personal Data

Pronto retains your personal data only for as long as it is necessary to fulfill the purposes for which it was collected or as required by applicable legal, regulatory, or business requirements. After this period, your data will be securely deleted or anonymized.

12.6 Marketing Communications

We may contact you with marketing or promotional messages about our services, but only with your prior consent. You may opt out of such communications at any time by contacting us or using the "unsubscribe" link in our emails.

12.7 Access, Correction, and Withdrawal of Consent

You may request to access, update, or correct your personal data by contacting our Data Protection Officer (DPO) using the details below. You may also withdraw consent for the collection, use, or disclosure of your personal data (subject to legal or contractual restrictions) by giving reasonable notice to our DPO.

Please note that withdrawing consent may affect our ability to provide you with the Services.

12.9 Complaints
